Terms of Service

These Terms of Service ("Terms") govern your access to and use of Biz Invoice Pay, an invoicing and payment platform ("Platform" or "Service") operated by CUTLARYHUB LLC, a limited liability company ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About the Service

Biz Invoice Pay provides US-based small businesses with tools to create and send invoices, collect card payments, and manage payouts. Payment processing is provided by Stripe (Stripe Payments Company and its affiliates). By using payment features, you also agree to the Stripe Connected Account Agreement.

2. Eligibility

You must be at least 18 years old, a legal resident of the United States, and operating a lawful business to use the Service. By registering, you represent and warrant that you meet these requirements. The Service is not available to individuals or businesses located outside the United States.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@cutlaryhub.com of any unauthorized access. CUTLARYHUB LLC is not liable for any loss arising from unauthorized use of your account.

4. Fees and Payments

Biz Invoice Pay charges a platform fee of 4.9% + 30¢ per successful card transaction. This fee is deducted automatically before funds are transferred to your connected Stripe account. Additional Stripe processing fees may apply and are governed by Stripe’s own fee schedule. Subscription fees, if applicable, are charged in advance and are non-refundable except as required by law.

5. Payouts

Payouts are processed by Stripe directly to your verified bank account. Payout timing is determined by Stripe’s standard payout schedule. CUTLARYHUB LLC is not responsible for delays caused by Stripe, your bank, or regulatory requirements. You must complete Stripe’s identity verification (KYC) before payouts are enabled.

6. Prohibited Uses

You agree not to use the Service to:

• Process payments for illegal goods or services;
• Engage in fraud, money laundering, or deceptive practices;
• Sell products or services restricted by Stripe’s Restricted Business list;
• Violate any applicable federal, state, or local law;
• Harass, harm, or discriminate against any person.

Violation may result in immediate account suspension and referral to law enforcement.

7. Refunds and Disputes

Our refund and dispute policy is described in detail on the Refunds & Disputes page. Chargebacks initiated by cardholders are handled through Stripe. You are responsible for responding to disputes in a timely manner and for any chargeback fees assessed.

8. Intellectual Property

All content, trademarks, and technology on the Platform are the property of CUTLARYHUB LLC or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CUTLARYHUB LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUTLARYHUB LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless CUTLARYHUB LLC and its members, officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or any reason with 30 days’ notice (except in cases of fraud or legal requirement). You may close your account at any time by contacting us. Outstanding balances will be paid out according to Stripe’s standard schedule.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Texas.

14. Changes to Terms

We may update these Terms from time to time. We will notify you by email or in-app notification at least 14 days before material changes take effect. Your continued use after the effective date constitutes acceptance.
